Terms of Service

Draft — last updated 2026

⚠️ Attorney review required

This is a first-pass draft. It has not been reviewed by a lawyer and should not be treated as final, particularly the liability, arbitration/dispute, and payment sections.

1. What Motive Is

Motive is a marketplace platform connecting vehicle owners (Customers) with independent automotive service businesses (Providers) for detailing, paint protection, mechanical work, and related services. Motive is not itself a service provider, is not a party to the service agreement between Customer and Provider, and does not employ or control Providers.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Motive. Providers must be a legitimate, appropriately licensed business (where licensing is required by their state/locality) for the services they offer.

3. Customer Terms

3.1 Booking

When you accept a Provider's proposal, you authorize Motive to charge the platform fee (Gate 1) shown at checkout. The remaining amount owed to the Provider is separate and is paid directly to the Provider per the terms disclosed at booking.

3.2 Reservation Holds

For higher-value jobs, Motive may place a temporary authorization hold on your payment method as a no-show protection measure. This hold is not a charge unless a documented no-show occurs per Motive's no-show policy, and is released automatically if the job proceeds normally or is cancelled per policy.

3.3 Cancellations

3.4 Your Responsibilities

You agree to provide accurate vehicle and contact information, be reasonably available for scheduled service, and pay the Provider the agreed amount for completed work.

4. Provider Terms

4.1 Independent Contractor Status

Providers are independent businesses, not employees, agents, or contractors of Motive. Motive does not direct or control how Providers perform their services.

4.2 Pricing

Providers set their own price for each job. Motive charges a separate Success Fee, calculated as a percentage of the Provider's quoted price, owed only when the Provider is confirmed for a booked job. The fee schedule is disclosed in the Provider dashboard and may vary by job value tier.

4.3 Response Expectations

Once a Customer accepts your proposal, you have a limited confirmation window (as shown in-app) to pay your Success Fee and confirm the booking. Missing this window returns the job to the Customer and may affect your Pro.Ven reliability score.

4.4 Conduct Standards

Providers agree to:

  • charge Customers only the amount on the accepted proposal plus any documented and Customer-approved scope changes;
  • never charge more than the agreed price without a documented, Customer-approved scope change request submitted through the app;
  • show up for confirmed jobs (repeated no-shows or late arrivals affect Pro.Ven score and may result in suspension);
  • not misrepresent skills, certifications, insurance, or licensing;
  • not solicit Customers to transact outside Motive for jobs originating on Motive;
  • maintain any insurance/licensing required by their jurisdiction.

4.5 Lead/Job Rules

Job opportunities are surfaced based on declared service categories and coverage area. Motive does not guarantee a minimum number of jobs, proposals, or bookings.

4.6 Pro.Ven Score

Calculated automatically from verified transaction data. Cannot be purchased, expedited for a fee, or manually adjusted upward by staff outside of correcting verified factual errors.

5. Payments

Motive uses Stripe to process payments. By using Motive, you agree to Stripe's terms of service in addition to these terms. Motive does not store your full payment card details. [Placeholder: refund policy, dispute/chargeback handling, payout timing.]

6. Customer Privacy & Data

Customer identity and contact details are not shared with a Provider until both sides have committed to a booking. Motive collects vehicle information, service history, location data, payment information via Stripe, and communications sent through the app to operate the marketplace, match Providers, and improve the service. See the Privacy Policy for full details.

7. Disputes Between Customer and Provider

Motive provides in-app messaging and a dispute/resolution process for issues arising from a specific job. [Placeholder: dispute resolution process, refund authority, escalation path.]

8. Account Suspension & Termination

Motive may suspend or terminate an account for violation of these terms, including conduct violations, repeated no-shows, charging above agreed price, misrepresentation, or fraudulent activity. [Placeholder: appeal process.]

9. Disclaimers & Limitation of Liability

[Requires attorney drafting.] Placeholder: Motive provides the platform "as is." Motive is not responsible for the quality of work performed by Providers, who are independent businesses. Motive's liability is limited to [to be determined with counsel].

10. Dispute Resolution / Arbitration

[Requires attorney drafting — jurisdiction, arbitration clause, class-action waiver if desired, governing law.]

11. Changes to These Terms

Motive may update these terms from time to time. [Placeholder: notice method and effective-date policy.]
